1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DevUtilify ("Company," "we," "us," or "our") governing your access to and use of the DevUtilify website, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

DevUtilify provides a suite of online tools and utilities for developers, designers, and content creators, including but not limited to:

• Code comparison and formatting tools
• File conversion utilities (PDF, images, etc.)
• Text processing and transformation tools
• Data encoding and decoding utilities
• Generator tools (QR codes, passwords, UUIDs, etc.)
• SEO and web development tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Subscription and Payments

4.1 Subscription Plans

DevUtilify offers both free and paid subscription plans. The features and limitations of each plan are described on our pricing page. We reserve the right to modify our pricing and plans at any time with reasonable notice.

4.2 Billing

For paid subscriptions, you agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

4.4 Refunds

We offer a 30-day money-back guarantee for new paid subscriptions. If you're not satisfied with the Service, contact us within 30 days of your initial purchase for a full refund. Refunds are not available after this period or for renewal charges.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, transmit, or distribute any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any illegal, fraudulent, or harmful purpose
• Scrape, crawl, or use automated means to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without authorization
• Circumvent any usage limits or restrictions

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

7.3 Maximum Liability

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless DevUtilify and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

9. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

11. Severability
